About the Job

The M&A Technical Accounting Senior Manager will be a cross functional role focused on finance and accounting issues relating to the Company's acquisitions. The individual will be involved in managing and supporting many aspects of the Company's processes for M&A and special projects, with a focus on technical accounting, integration, and the related processes. The individual will interact regularly with Corporate Development, Real Estate and other functions of Finance to ensure the seamless close, accounting, and integration of transactions.

Duties and Responsibilities:
  • Perform technical accounting research and properly document accounting positions for complex acquisition transactions.
  • Assist with evaluating the accounting consequences of transactions and provide input and suggestions to planned and proposed transaction agreements.
  • Work collaboratively with the Corporate Development, Real Estate, FP&A, Accounting, and external valuation and tax specialists to complete and account for comprehensive business valuations for acquisitions.
  • In-depth review of business combination valuations and purchase price allocation to ensure that scope, methodology and key assumptions are understood and supportable.
  • Act as conduit between external valuation specialists and auditors on issues related to PPA and valuations.
  • Maintain appropriate processes and records to provide reconciliation of post-close financials on behalf of Sellers* Coordinate with cross-functional teams (M&A AP, Revenue Cycle, external support) to facilitate seamless transition of new practice accounting functions to Core Accounting
  • Provide valuation and accounting support for other complex and unusual acquisitions related transactions including inventory, accounts receivables, collectability estimates, payables, net working capital reviews, asset impairments, real estate and leasing transactions, and other complex matters that may arise
  • Analyze and recommend process improvements to improve the operationalization and implementation of accounting requirements for acquisitions
  • Support the audits for M&A transactions, AR, Inventory, and any other areas needed
  • Support Sellers in a smooth integration of new Practices into AEG operations.
  • Assisting Director M&A Accounting and Finance with planning, coordinating, and implementing special projects and process improvements as required.
  • Support accounting team for monthly close process, reporting, audit, and other special projects as required. 

Qualifications

  • 7+ years of experience required
  • CPA qualification(s) preferred
  • Bachelor's degree required
  • Big 4 Experience Preferred -- National Accounting/Consulting Firm Required
  • Transactional exposure on business combinations
  • Experience reviewing transaction documents with a focus on matters that may have accounting or disclosure consequences
  • Experience in preparing and reviewing financial statements and valuations.
  • High proficiency in Microsoft Excel (data movement, Pivot Tables, etc.)
  • Strong project management abilities (experience with SmartSheet a plus)
  • In-depth technical knowledge of U.S. GAAP
  • Prefer experience with variable interest entities (VIEs)
  • Aptitude for quantitative analysis, highly analytical, strong attention to detail
  • Excellent written and verbal communication skills, including the ability to concisely convey complex details to a broad audience.
