Director, Corporate and Securities Counsel - Opportunity in Corporate Headquarters with Arrow Legal and Compliance Team

Position Summary:
At present, we have an excellent opportunity for a Director, Corporate and Securities Counsel, in our Centennial, Colorado corporate headquarters. This position will be responsible for supporting a variety of corporate legal matters with a focus on SEC and public company projects, general commercial matters, merger and acquisition, and debt financing. Additionally, this position provides timely transactional expertise to support the organization by delivering creative solutions supporting the Company's contractual, pre-litigation, and financing goals in a fast-paced, performance-driven, customer-focused, collaborative environment.

The successful candidate must have significant experience with public companies (in house), be able to think strategically and apply sound judgment to critical corporate projects, pay meticulous attention to detail, and be responsive to business managers. He or she must be able to operate at the Board level and collaborate with senior executives and leaders throughout the company.

What You'll Be Doing:

  • Advise Chief Legal Officer and executive team on SEC requirements and corporate governance. Support corporate secretary function with respect to governance and Board.

  • Prepare securities filings, proxy statements, press and earnings releases and investor relations presentations.

  • Assist with capital markets transactions and associated legal documentation (e.g., offering documents and registration statements).

  • Oversee securities law administration and compliance (e.g., equity incentive plan matters, securities trading policy administration, Regulation FD, transfer agent oversight and matters with respect to other securities laws and NYSE requirements).

  • Draft corporate governance materials, including resolutions, minutes, and other materials for meetings of the board and its committees.

  • Draft and negotiate M&A transaction agreements and manage all legal aspects of acquisition or disposition transactions.

  • Draft, review, negotiate and interpret a wide variety of commercial agreements, such as SAAS; licensing; information technology; marketing; and services agreements.

  • Handle complex legal projects with significant financial and business impact.

  • Advise management and other internal clients regarding legal and business issues, including identifying, managing, and communicating risks and opportunities associated with specific agreements, approval processes, negotiation strategy, and business objectives and initiatives.

  • Manage and mentor team members.

What We Are Looking For:

  • Minimum ten years of relevant experience with at least four years spent at an in-house legal department of a public company, preferably for a global organization.

  • Deep knowledge of securities law for public companies. Familiarity with corporate governance best practices in public companies.

  • Able to work effectively with directors, senior management, and other functional groups, on deadline.

  • Experience negotiating technology transactions and complex commercial transactions with a familiarity of legal issues surrounding Cloud/SaaS product offerings, software licensing, and professional services agreements.

  • Demonstrated ability to build cross-functional relationships across the globe and capacity to work effectively in a matrixed organizational structure.

  • Growth mindset, highly tuned emotional intelligence, and the ability to work in a diverse and inclusive environment.

  • Initiative with ability to act decisively, work independently, and exercise excellent judgment.

  • J.D. and active attorney license required.

Annual Hiring Range/Hourly Rate:

$266,400.00 - $325,600.00

Actual compensation offer to candidate may vary from posted hiring range based upon geographic location, work experience, education, and/or skill level. The pay ratio between base pay and target incentive (if applicable) will be finalized at offer.
