Corporate Paralegal

Nature of Work 

The CorporateParalegal will provide support to our Corporate Attorney, primarily in thefollowing areas: commercial contract drafting, review, and management;corporate compliance and corporate governance matters; litigation management; maintainingLegal Department resources; internal investigations; and research and specialprojects.

Essential Duties and Responsibilities

  • Assist in review and preparation of contracts (primarily construction contracts).
  • Prepare minutes and other routine corporate secretary documents for subsidiaries; keep accurate minute books and other corporate records; assist in digitizing legacy corporate records.
  • Prepare routine documents, agreements and instruments, such as confidentiality agreements and some employment-related agreements.
  • Review legal bills from outside counsel; develop and implement reports for monitoring outside legal spending.
  • Furnish litigation support including file set-up and maintenance; litigation tracking; document and fact gathering; review and preparation of discovery materials, including e-discovery; and coordination of work through outside counsel.
  • Conduct research and resolve routine law questions under the guidance of supervising attorney.
  • Handle information requests to and from other company personnel for information about company records, corporate entities, commercial transactions, and litigation.
  • Assist with tracking Legal Department workflow, including coordination with business teams about outstanding legal requests.
  • Assist with preparation of training materials, and with giving legal training as needed.
  • Maintain the Legal Department intranet page
  • Manage special projects outsourced to consultants or outside counsel.
  • Undertake other ad hoc projects under supervision of attorney.

Qualifications

  • Excellent communication skills.
  • Understanding of legal language and principles, research methods, court pleadings and processes, and other related matters.
  • Excellent interpersonal and customer service skills.
  • Excellent organizational skills and attention to detail.
  • Excellent time management skills with a proven ability to meet deadlines.
  • Strong analytical and problem-solving skills.
  • Ability to function well in a high-paced and at times stressful environment.
  • Ability to maintain confidentiality, and to exercise discretion and good judgment.
  • Proficient with Microsoft Office Suite.
  • Experience with Bluebeam PDF software, or ability to quickly learn and utilize that software.

Education
Associate degree in Paralegal Studies or related field required; Bachelor's degree in Paralegal Studies or related field preferred.
Paralegal certificate required.

Experience
3-10 years of relevant experience, preferably including work in a corporate legal department.
Preference for prior experience with construction law or the construction industry generally.

Physical Demands
Physicaldemands for this position are light. Typically the employee may sit comfortablyto do their work. However, there may be walking, standing, bending or carryinglight items, (10-25 pounds) such as papers, books, small parts, etc. No specialphysical demands are required to perform work.

Work Environment
The workenvironment involves everyday risks or discomforts which require normal safetyprecautions typical of such places as offices, meeting and training rooms,residences, commercial vehicles, or outdoors, e.g. use of safe work practiceswith office equipment. Avoidance of trips and falls and observance of fireregulations and traffic signals, etc.
