The strategy behind the game.
We're growing rapidly and looking for an attorney to support mergers and acquisitions, SEC, NASDAQ, and NV requirements and filings, governance, and board matters, When you join us, you'll work with other internal stakeholders and leaders to ensure all of our teams are aligned and compliant with applicable laws, rules, and regulations. This is a highly collaborative role in which you'll work closely with the Vice President & Associate General Counsel. Sound good to you? Join us.

What you'll do as Corporate Counsel:

• Draft, review, and negotiate complex transaction agreements including agreements related to mergers and acquisitions.
• Supervise transaction-related diligence processes and coordinate with outside counsel on deal matters.
• Assist with post-acquisition integrations.
• Assist with managing national and international corporate entities and support secretarial function, including assisting with the preparation of subsidiary board materials.
• Advise key stakeholders of legal and business risks related to deals that you support.
• Support the preparation of SEC-related documents and policies and procedures.
• Advise key stakeholders of legal and business risks related to deals that you support.

Requirements:

• Juris Doctorate.
• You're an active member in good standing with the Massachusetts Bar, or you have the ability to be admitted as in-house counsel in Massachusetts.
• Ideally, you have at least 6+ years of relevant corporate law experience; you have at least 4 years of law firm experience.
• You're highly organized and have the ability to work both independently and as a member of a team.
• Excellent written and verbal communication skills, attention to detail, good business judgment and the ability to handle multiple projects at one time.
