The Assistant General Counsel - Corporate and Commercial position will work as part of a team responsible for a wide range of transactional, compliance, corporate governance and commercial matters. The candidate is expected to be able to complete tasks independently while coordinating with the other team members to ensure matters are being handled quickly and efficiently.

Role & Responsibility

Legal Review

• The role will require knowledge of and experience in handling a variety of corporate matters including governance, due diligence, M&A, finance and corporate transactions.
• Draft, review and negotiate complex commercial contracts including banking and financial services agreements, supply, procurement, services, sales and distribution agreements, marketing and sponsorship contracts, innovation agreements, investment agreements, and technology agreements.
• Draft, review and negotiate various other commercial and transactional agreements in general and particularly for assigned business functions and teams.
• Identify risks and propose alternative structures to mitigate risks involved in transactions and contracts.
• Apply independent judgment in determining courses of action required to perform assignments. Make recommendations on all matters including policies and complex legal issues.
• Maintain effective communications with all business functions seeking advice on legal matters concerning company projects, construction and activities.
• Review, analyze and keep current on all federal and state legal developments affecting the construction machinery industry and corporate environment.
• Provide timely responses to day-to-day policy and legal issues raised by the business.
• Be willing to ask questions and learn as part of a tightly knit legal team.

Cross Team Integration

• Work collaboratively with internal clients in North America, EMEA, Asia-Pacific and Latin America on a variety of legal matters.
• Participate in company-wide initiatives and other discrete projects as needed.
• Collaborate across the organization with various groups and functional leaders in Innovation, Human Resources, Engineering, IT, Finance, Safety, Marketing, Sales, Sourcing, Service, Aftermarket, and other business functions.

Job Requirement

• Education Required: Law - Juris Doctor.
• Experience: 8-14+ years of experience as a practicing attorney in several of the substantive areas of practice, along with being a member of a US State Bar.
• Top law firm experience and/or extensive in-house corporate and transactional experience strongly preferred.
• Meticulous attention to detail, but also possess a pragmatic approach to matters with discretion and diplomacy while interacting with various levels of personnel.
• A willingness to learn and share new and evolving areas of law.
• Ability to interact effectively with all levels of the organization.
• Experience working in a global company is preferred.
• Travel Required: 10% - 20%.

Functional Competency

• This role requires the ability to quickly identify issues and propose solutions in a fast-paced environment.
• A broad knowledge of how companies operate is expected, and deep experience knowing when to escalate issues is essential.
• You'll play a crucial role in assisting with legal matters, managing contracts, and providing strategic counsel to senior executives.
